1. Introduction

Welcome to Envest, the digital investment platform owned and operated by Goldenbridge Asset Management Company Limited.

Envest provides eligible users with digital access to investment products and services, including portfolio management, investment account management, fund subscriptions, redemptions, stockbroking services, portfolio monitoring, and other investment-related services introduced from time to time.

These Terms govern your access to and use of the Platform and constitute a legally binding agreement between you and the Company.

By downloading, registering, or using Envest, you acknowledge that you have read, understood, and agreed to these Terms, the Privacy Policy, and all other applicable policies issued by the Company.

If you do not agree, you must discontinue use immediately.

2. Acceptance of Terms

1. Creating an account or clicking "I Accept" legally binds you to these Terms.
2. Your electronic acceptance has the same legal effect as a handwritten signature.
3. Instructions transmitted through your registered account are deemed to originate from you.
4. These Terms apply to all services unless governed by separate product-specific agreements.
5. Where another investment agreement applies, it prevails in the event of inconsistency.

3. Eligibility

The Platform is available only to persons legally capable of entering binding contracts under Nigerian law.

By registering, you represent that:

The Company may refuse registration or suspend accounts for legal, regulatory, operational, or security reasons.

4. Account Registration, KYC & Customer Due Diligence

Access to investment services requires successful completion of the Company's onboarding and KYC requirements.

You agree to provide information and documentation necessary for identity verification, fraud prevention, anti-money laundering compliance, and customer due diligence.

The Company may suspend or restrict access where:

• KYC requirements remain incomplete.
• Information cannot be verified.
• Fraud or unlawful activity is suspected.
• Required by law or regulatory authorities.

You must keep your personal information up to date.

5. Anti-Money Laundering, Counter-Terrorism Financing & Sanctions Compliance

The Company complies with all applicable AML, CTF, sanctions, and financial crime regulations.

You represent that all funds invested through Envest originate from lawful sources.

The Company may:

• Conduct enhanced due diligence.
• Request additional documentation.
• Screen users against sanctions lists.
• Delay or reject suspicious transactions.

6. Services Available on the Platform

Envest provides access to selected investment products and services offered by the Company.

Services may include:

• Opening investment accounts
• Digital onboarding
• Fund subscriptions and redemptions
• Stockbroking services
• Portfolio monitoring
• Account statements
• Investment notifications
• Future investment features introduced by the Company

Risk Profiling

Certain investment products may require completion of a risk profile or suitability assessment. These assessments help determine product suitability but do not constitute investment advice.

7. Investment Instructions & Electronic Transactions

Instructions submitted using your registered credentials are deemed authorized by you.

The Company may delay or reject instructions where:

• Instructions are incomplete.
• Funds are insufficient.
• Legal or regulatory restrictions apply.
• Additional verification is required.
• Security concerns exist.

8. Subscriptions, Redemptions & Stockbroking Transactions

Transactions remain subject to applicable SEC, NGX, CSCS, and other regulatory requirements.

A transaction is completed only after confirmation by the Company.

Execution depends on:

• Market conditions
• Availability of securities
• Trading rules
• Regulatory restrictions

9. Investment Risks

All investments involve risk, and investment values may increase or decrease.

The Company does not guarantee:

• Specific returns
• Capital preservation
• Profitability
• Continuous availability of products

Past performance does not guarantee future performance.

10. Taxation

You are responsible for understanding and complying with all applicable tax obligations arising from your investments.

The Company may deduct taxes where legally required.

11. User Responsibilities

You agree to:

• Provide accurate information.
• Protect your login credentials.
• Maintain sufficient funds.
• Report unauthorized access promptly.
• Comply with applicable laws.

You must not:

13. Account Security

You are responsible for safeguarding your passwords, PINs, OTPs, and biometric credentials.

Notify the Company immediately of:

• Compromised credentials
• Fraudulent transactions
• Security breaches

14. Privacy & Data Protection

The Company processes personal data in accordance with the Nigeria Data Protection Act, 2023.

Your information may be used for:

• Regulatory compliance

• Service improvement

Further processing is governed by the Company's Privacy Policy.

15. Intellectual Property

All intellectual property rights relating to Envest remain the exclusive property of the Company or its licensors.

You receive only a limited license to use the Platform for personal lawful investment purposes.

16. Service Availability

The Company will use reasonable efforts to keep the Platform operational but does not guarantee uninterrupted availability.

Interruptions may occur due to maintenance, system upgrades, internet failures, power outages, regulatory requirements, or circumstances beyond the Company's control.

17. Disclaimer of Warranties

The Platform is provided on an "as available" and "as is" basis except where warranties cannot legally be excluded.

18. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect or consequential losses arising from the use of the Platform.

This limitation does not exclude liability for fraud or wilful misconduct where such liability cannot legally be excluded.

19. Indemnity

You agree to indemnify and hold harmless the Company and its affiliates against claims arising from:

• Breach of these Terms
• Misuse of the Platform
• Violation of law
• Third-party rights infringement
• Fraudulent or unlawful acts

20. Suspension & Termination of Access

The Company may suspend or terminate access where:

• These Terms are breached.
• Fraud is suspected.
• KYC or AML requirements are not met.
• Required by law.
• Security risks arise.
• Accounts remain dormant.

21. Amendment of Terms

The Company may amend these Terms to reflect changes in law, technology, products, or business operations.

Continued use after changes become effective constitutes acceptance.

22. Complaints & Customer Support

The Company will acknowledge and investigate complaints within a reasonable time through its official customer support channels.

23. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

Disputes shall first be resolved through good-faith negotiations. Unresolved disputes shall proceed to arbitration under the Arbitration and Mediation Act, 2023.
